An existing credit fund can be the issuer, where its documents allow it: it can move its investor register on chain, or issue a new class or series of notes as tokenized interests. Either way, the tokens are securities, sold only to eligible investors, and they represent the same claim on the fund's loans that a paper interest would.
A note or fund interest with the rights set out in the fund's documents (payment priority, reporting, transfer limits). The token is the record of that interest, not a new asset.
A fund or issuer with clear authority to issue; loan or receivable cash flows that can be shown from servicing records; an independent valuation or audit; a transfer process that keeps the investor list limited to eligible holders.
Usually not for an existing credit fund. A single company's receivables are often sold to a separate purchasing entity, so that they sit apart from the seller's own creditors; whether that fits is assessed case by case.
Commertize treats it as one: it would be offered under a securities exemption to eligible investors. Whether a particular note is a security is a question for the issuer's counsel.
Only within the transfer limits of the offering and to eligible buyers.
